Suspended registration: restore or close?

Understand the restriction before deciding what to do with the company.

What does “frozen” mean in your case?

The word can describe a suspended company registration, a restricted bank account or a tax issue. It is useful shorthand in a conversation, but the official record or notice tells us which problem needs attention.

A suspension is not confirmation of liquidation. The company may still have accounts, reporting obligations, assets and liabilities to deal with. Start by telling us what you were trying to do when the restriction came to light.

Companies affected by the registration update

The Law on Entrepreneurs introduced alignment requirements for existing company registrations. For registrations suspended on 1 April 2026, the Public Registry’s notice of 4 June 2026 provides a compliance window ending on 1 April 2027. The notice does not mean that every business described as frozen falls within the same procedure.

If you want to keep the company

Restoring the registration may be the immediate legal task. Before trading resumes, the tax and reporting history should also be understood. Restoring a registry entry does not, by itself, correct missing returns or settle a tax balance.

Tell us whether the owners and directors remain the same and whether a shareholder is another company. Changes or foreign corporate documents can affect the preparation required.

If you want to close it

We can assess a suspended company for closure and identify the preparatory legal work. The aim is to determine what is necessary to complete the liquidation, rather than restore the business without considering your plans.

A restriction and an RS.ge balance may be separate issues

An inactive company can also show an estimated tax assessment if a required return is missing. Interest or penalties may apply under the relevant rules. We review the tax record separately from the registration restriction. Read dormant companies and RS assessments.
