IE closure is a separate service
An individual entrepreneur conducts business in their own name. Closing an IE therefore differs from liquidating an LLC. We review the business registration, tax account and final reporting before confirming the work needed.
You may have stopped freelancing, left Georgia or registered for an activity that never began. What matters is the recorded activity and any remaining obligations, including payments still expected from clients.
Registration
Check the IE record and the documents needed to end the registration.
Final reporting
Review the last activity period, returns and relevant tax registrations.
Confirmation
Provide the registration outcome and identify any work still outstanding.
What we need to understand
- Your registered IE name and, if available, Georgian identification number.
- The work you carried out and when you stopped.
- Whether further business payments are expected.
- Your filing history and any tax balance or official notice.
- Small business status, VAT registration, employees or other relevant arrangements.
The identification number is optional in the initial enquiry. If you are unsure what is registered or which returns were filed, tell us who last dealt with the account. We can then identify the information needed for a reliable review.
Closing registration does not erase personal liabilities
The individual remains responsible for existing obligations after IE registration is revoked. We therefore distinguish the registration application from outstanding tax, reporting and contractual matters. Where the accounts are incomplete, we can quote for the necessary reconstruction or corrections.
A business that has stopped receiving income may still have a return, tax status or assessment to address. We check the Revenue Service records and any notices rather than assume that inactivity has closed the account.
Law on Entrepreneurs, Article 91.
Small business status and final payments
Tell us if you used small business or another special tax status. We check the position recorded with the Revenue Service and identify whether any separate action is required. Ending the IE registration should not be used as a substitute for reviewing those records.
Unpaid invoices, a final client payment, business equipment or an employee can affect the work. Mention them at the beginning so that the proposed service accounts for the final period of activity.

Already outside Georgia?
You can begin the review by email or Zoom. We confirm the authority required for representation and the signing arrangements available in your country. Supporting records and any access arrangements are organised after the assignment is understood.
Fees and timing
IE closure is quoted individually. The €1,360 company-liquidation price and the six-month company planning estimate do not apply to this service.
The time required depends on the registration, document readiness and any outstanding reporting or tax work. Our quotation identifies the legal service, included authority charges, other document costs and the expected timetable.
If you have already submitted a closure application, send the application reference or date. We can check whether registration ended and assess any remaining reporting work.
Questions about this service
Can you close an IE that was never used?
Yes. We review the registration and relevant tax obligations even if no business began. Any required work is identified before we confirm the fee.
Do I need to travel to Georgia?
We first check whether the required work can be handled through an authorised representative. The answer depends on the documents, signing arrangements and the particular assignment.
Does the company-registration compliance update apply to IEs?
The Public Registry’s alignment requirement for existing companies does not apply to individual entrepreneurs. IE closure and tax reporting are considered separately.
