How much does company liquidation in Georgia cost?

The price is €1,360 for an eligible uncomplicated company, with authority fees included. Notary and translation fees are included when the same person is the sole shareholder and sole director. We check the company’s statutory filings, including RS.ge and SARAS where required, before confirming the package. Complex cases and accounting reconstruction are quoted separately.

Does a dormant company still need to be closed?

Yes, if you want to end the company’s legal existence. Stopping trade or leaving a bank account unused does not complete liquidation. We review the registered and reporting position before beginning the closure.

How long does company liquidation take?

For planning, allow around six months from filing the liquidation application with the Public Registry. Preparation comes before filing. Completion may be earlier or later depending on tax checks, assets and unresolved matters. We confirm the expected timetable after reviewing the company.

Can you close a company with missing tax returns?

Yes. We can review the missing periods, reconstruct the accounting and prepare the required submissions to the Revenue Service, with SARAS reporting where applicable. We quote this work after assessing the records.

Can you help with a frozen or suspended company?

Yes. We check the registry decision and advise on restoration or closure. Suspension for failing to update registration data is not the same as completed liquidation. Preparatory registration work may be needed before closure.

What are the restoration fees?

€800 for a company with one individual shareholder and one director; €1,200 where there is a corporate shareholder or more than one director. Both prices include authority fees. Notary and translation fees are included when the same person is the sole shareholder and sole director. For other structures, these fees are quoted separately. Other ownership arrangements are assessed individually. Liquidation is a separate service.

Can I arrange the work from abroad?

We can coordinate your instructions and review by email or Zoom and represent you under suitable authority. The documents needed depend on the ownership and where they are signed. We confirm any notarisation, apostille or legalisation requirements after review.

Can you close an individual entrepreneur registration?

Yes. We review the IE registration and relevant tax position, including outstanding returns and special tax status where applicable. We quote this service individually. Ending IE registration does not erase existing personal obligations.

What do you need to begin?

Start with the company or IE name, your contact details and a brief account of its activity. Add the identification number if you have it; it is optional in the enquiry form. Mention any missing reports, debts, assets or suspension. Supporting documents can follow after our initial review.

Can I speak to a lawyer on Zoom?

Yes. Tell us your time zone, preferred times and the questions you want to discuss. We confirm availability and any consultation fee before arranging the call.

Does submitting the form commit me to payment?

No. The form requests a service review. We confirm the scope, fee and engagement terms before work begins.

Is the 2022 registration update required for an IE?

The Public Registry’s company-registration alignment requirement does not apply to individual entrepreneurs. IE closure and outstanding tax matters are assessed separately.

Can a dormant company receive an RS assessment or fine?

Yes, where the legal conditions are met. A missing required return can lead to an estimated tax assessment, with interest or penalties where applicable. An assessment is different from a fine; Article 274’s late-filing fine does not apply when the return’s tax payable is zero. We review the notice and records.
